The Trust Board of Directors has overall responsibility for running our hospitals and is accountable to our commissioners and regulators including NHS Cheshire and Merseyside, NHS England, and the Care Quality Commission.
The Board is made up of six voting and two non-voting executive directors and seven non-executive directors (including the chair) and oversees all key areas of the Trust's work.
They are accountable for setting the strategic direction of the Trust, monitoring performance against local and nationally set objectives and targets to ensure high standards of performance. They also have a role in promoting links between our hospitals, services and the local community.
Board meetings and committees
The Board holds a bi-monthly public meeting. At the meetings, reports are received and discussed covering the Trust's performance, finances, operational strategy and service development. Votes are taken on key decisions.
Major policies are also presented to the Board. The chairman and chief executive also give a verbal update.
All non-executive directors, including the chair, are able to attend any of the Board committee meetings.
All non-executive directors are members of the Audit Committee and Charitable Funds Committee, with the exception of the chair.
All non-executive directors attend meetings of the Council of Governors.
Non-executive directors
Non-executive directors are appointed to work with the Trust on a part-time basis.
Their role is to scrutinise the performance of management within the Trust and provide independent views, making sure the Trust is working in the interests of local people. They include the chair, deputy chair and senior independent director.
Non-executive directors may be appointed because they have specific experience that is useful to the Trust, for example a finance or medical background.
Executive directors
Executive directors are full time employees of the Trust. Our eight executive director roles are:
- Chief Executive
- Executive Medical Director and Chief Clinical Information Officer
- Chief Operating Officer and Deputy Chief Executive
- Chief Nurse
- Chief Finance Officer
- Chief People Officer
- Chief Strategy and Partnerships Officer (non-voting)
- Director of Communications and Engagement (non-voting)
Register of interests
Executive directors are required to comply with the Trust's Standards of Business Conduct and to declare interests that are relevant and material to the Board.
All directors must declare such interests on appointment and on any subsequent occasion that a conflict arises and this is reviewed annually.
